C & J Clarks CASE STUDIES Acting for the British-based, international shoe retailer on the restructuring of its debt facilities which was effected alongside (i) a £100m equity investment made by LionRock, (ii) the implementation of a CVA (to restructure the group’s leasehold retail store portfolio) and (iii) an internal group reorganisation. The debt facilities are for significant amounts and comprise a syndicated RCF, various ancillary facilities and senior secured notes. The pension scheme also played a key role in the transaction because the scheme, with a buy-out deficit of +/-£200m, would be the group’s largest unsecured creditor. The Pensions Regulator and the PPF were closely involved by the pension trustees from the start of the process. Eden Geothermal Project Advising the financial sponsor on the corporate arrangements, the interface between the institutional funding and public funding and state aid/subsidy control advice, proposed project documentation approach and land arrangements. Our team played a key role in structuring and negotiating bespoke arrangements with government to unlock public funding for the project. National Express Working with the Treasury team for many years on a raft of different debt financings totalling over £1bn and various hedging products. DEFRA CASE STUDIES Advising during the COVID-19 crisis on the contractual arrangements with caterers to provide for the delivery of food boxes to those individuals who are having to be shielded. Co-operative Group Acting for the on the sale of its farming operation known as Farmcare, together with over 17,000 acres of land in England and Scotland, for £247m. The sale included several wind farms, imposed overage provisions on parts of the property, and involved the transfer of employment contacts and pension rights as well as contractual rights to farm a further 21,000 acres. The Crown Estate Advising in relation to an action against a tenant, who had allowed waste (including asbestos) to be brought on to the holding without consent and in breach of environmental regulations. Groceries Code Adjudicator Appointed to advise on issues relating to the Groceries Code and as secretary to the GCA in related arbitrations. Agricultural and Horticultural Development Board Advising on regulations relating to the levy imposed on potato growers. Acting Director of the Sustainable Soils Alliance and actively involved in the Agriculture and Environment Bills, including assisting clients with responses to consultations.
