BURGES SALMON LLP Franchise Law How we can help you We have an in-depth understanding of franchising, having advised on such issues across a number of sectors including health, childcare, transport, retail and leisure. In particular, we have played a leading role in complex franchise arrangements including the development of franchising in the rail sector. We have advised the rail sector on most of the franchises let since privatisation (more than 20) and been heavily involved in the development of rail franchising policy from preprivatisation to date. Having also mobilised over ten successful franchise bids in that time, we have experience of the unique dynamics of successful franchise handovers. Case studies First TransPennine Express Acting on its successful franchise bid and four linked rolling stock procurements. These procurements cover 12 InterCity electric trains,13 sets of five car InterCity coaches, Class 68 locomotive hire arrangements and maintenance arrangements across Manchester, Liverpool and Glasgow. These combine with the earlier order for 19 Hitachi bi mode trains to create a total rail investment of over £500m – which will deliver over 13 million extra seats a year to boost the Northern Powerhouse. Abellio Advising on the successful bids for the Greater Anglia Franchise in 2016 and the West Midlands rail franchise in 2017. Welsh Government / Transport for Wales Advising on emergency measures necessary to manage the impact of COVID-19 on passenger rail services in the TfW franchise, including implementation of a reduced passenger timetable, new fare proposals for NHS/Key Workers and emergency amendments to the existing franchising and CVL infrastructure arrangement. Train operating companies Advising six train operating companies on emergency measures to be implemented with Franchising Authorities to mitigate the impacts of COVID-19, including the implementation of a management contract model for a period. Vaccine Task Force (sponsored by BEIS and DHSC) Advising on a series of projects for the manufacture and supply of vaccines. Our work included negotiating the arrangements with Wockhardt, for the reservation of manufacturing capacity by HMG. This capacity has been used to manufacture the AZ vaccine. We supported BEIS to draft and negotiate contract, and advise on life sciences regulatory issues and subsidy control. Major independent care provider Advising a major independent care provider of over 230 free NHS and social care services across the UK, on a number of critical contracts including advising on procurement issues, including a £100m+ procurement claim and on the procurement law implications of a proposed corporate restructuring exercise. UK Research and Innovation Advising on various medical research grant funding arrangements including in relation to trials, diagnostics and disease detection. University of Oxford Advising on the establishment of the ground-breaking Vaccine Manufacturing and Innovation Centre (a JV with academic and industry partners) and then VMIC on its subsequent additional government funding to deal with COVID-19 issues. NHS Trusts and independent healthcare providers We advise NHS Trusts (such as Guys and St Thomas’ Hospital) on contract, corporate and IP matters. We have also advised independent providers (such as Spire Healthcare and Cobalt Health) on their arrangements with NHS England, and HCRG Care (formerly Virgin Care) on matters relating to its community care arrangements across the UK.
