This was achieved using a statutory transfer scheme under the Higher Education and Research Act 2017. Ministry of Defence Advising on various joint venture matters, including a corporate joint venture established to provide a solution for the provision of maintenance, repair, overhaul and upgrade services for the F-35 Lightning II aircraft, and advising on the early stages of a proposed joint venture in respect of the Future Combat Aircraft Systems project. UK Research and Innovation Advising on the sale of the Vaccine Manufacturing and Innovation Centre (VMIC) to a private sector counterparty, including advice on corporate governance issues affecting UKRI and the VMIC entity and the terms of the sale documentation. University of Oxford and Oxford University Hospitals NHS Foundation Trust Advising on the joint venture with Mayo Clinic, a US based non-profit organisation committed to clinical practice, education, and research. The joint venture was structured using a limited liability partnership and drew on a wide range of specialised experience from across the firm, particularly regarding the bespoke and technical corporate aspects of the partnership arrangements. Department for Environment, Food & Rural Affairs (DEFRA) Advising on matters relating to the establishment of the independent Office for Environmental Protection (OEP), including the transfer of assets by DEFRA to OEP as part of DEFRA’s obligation to provide grant-in-aid to OEP. This is being achieved via an asset transfer process as well as an arrangement for DEFRA to provide interim services to OEP during the transitional phase, prior to the OEP achieving operational independences. Case studies Covid-19 Inquiry Advising the UK Covid-19 Inquiry in conjunction with its approved key subcontractor, Fieldfisher. Non-departmental Public Body Successfully defending against compensation claims worth over £220m under Section 283 Proceeds of Crime Act. Our team was engaged to defend all aspects of the claims and managed the review of around 700,000 documents on behalf of government departments as part of their respective involvement with a high-profile public inquiry. Department of Health & Social care Advising on disputes with PPE suppliers. This involves handling a portfolio of recovery claims relating to alleged defective PPE and, working with both GLD and the departmental commercial team to take them forward to Court proceedings if necessary.
